Intellectual property basics reviewed for all lawyers

The 2006 ISBA Law Ed season will open with two presentations of the seminar, “What Every Lawyer Should Know About Intellectual Property,'' sponsored by the Intellectual Property Section.

The programs are scheduled from 9 a.m. to 4:45 p.m. Friday, Jan. 6, at the Radisson Hotel, Bloomington, and Friday, Jan. 27, in the ISBA Chicago Regional Office.

Section council past chair Aaron W. Brooks of Holmstrom & Kennedy, Rockford, is program coordinator and moderator. The schedule follows.

9 a.m. – Welcome, Introductions and Overview of Intellectual Property by Brooks.

9:15 a.m. – The Basics of Copyright Law, with section council secretary Eugene F. Friedman of Friedman & Friedman, Chicago, and Prof. Steven J. Helle of the University of Illinois, Urbana.

What is a copyright, and what kinds of things are copyrightable? Notice and registration requirements, transferring copyrights, and dealing with copyrights as part of business transactions.

9:45 a.m. – The Basics of Trademark Law, with section council vice chair Stephen G. Kehoe of the Law Offices of Stephen G. Kehoe, Chicago, and Brooks.

What is a trademark? What do you do if you receive a cease-and-desist letter, and how do you decide whether to send one? Trademark priorities, registration details, and differing between state and federal provisions.

10:30 a.m. – The Basics of Patent Law, with Friedman.

What is a patent? Steps to be taken by a general practitioner representing an inventor, licensing issues, and patent issues in business transactions.

11 a.m. – The Basics of Trade Secret Law, with section council member Joseph T. Nabor of Fitch, Even, Tabin & Flannery, Chicago, and John J. Cummins of Cummins & Associates, Chicago.

Drafting and evaluating confidentiality agreements, protecting trade secrets and managing confidential disclosures, and issues that arise in trade secret disputes.

11:30 a.m. – Alternative Dispute Reso-lution Issues, with Mark V. B. Partridge of Pattishall, McAuliffe, Newbury, Hilliard & Geraldson, Chicago.

12 noon – Luncheon period.

1 p.m. – Intellectual Property Audits, with section council member Alan R. Singleton of the Singleton Law Firm, Champaign.

Determining what intellectual property a client owns, and organizing and managing intellectual property business assets.

1:30 p.m. – Stock Purchase and Asset Purchase Agreements, with Cummins.

Issues to consider when purchasing a business that may own copyrights, trademarks, trade secrets or patents. How to research and transfer intellectual property rights. Security interests.

2 p.m. – The Basics of Privacy and Publicity Law, with section council member Steven L. Baron of Mandell Menkes, Chicago, and Brooks.

3 p.m. – Ethics Issues in Intellectual Property, with Friedman.

New MCLE requirements, unauthorized practice, retainer and trust account issues, conflict of interest, and registration docket management.

4 p.m. – Internet and Software, with Brooks.

Domain names and cyber-squatting, copyright infringement on the Internet/Digital Millennium Copyright Act, basic issues in drafting and negotiating a software license, indemnification and third-party rights, source code, scope of license, and defects and warranty.

4:30 p.m. – Panel Discussion and Program Conclusion.
