Court erred in dismissing Plaintiff's request for an accounting from a Delaware limited partnership. Section 17-305 of the Delaware Revised Uniform Limited Partnership Act does not apply to general partners of limited partnerships, and no other provision of that Act deprived the court of subject-matter jurisdiction. Plaintiff alleged sufficient facts to state a cause of action for an accounting. Court properly dismissed Plaintiff's request for an accounting from a Delaware corporation, as section 220 of the General Corporation Law of Delaware vests exclusive jurisdiction for the inspection of corporate books and records in the Delaware Court of Chancery.
