Pearson v. Pearson

Court erred in dismissing Plaintiff's request for an accounting from a Delaware limited partnership. Section 17-305 of the Delaware Revised Uniform Limited Partnership Act does not apply to general partners of limited partnerships, and no other provision of that Act deprived the court of subject-matter jurisdiction. Plaintiff alleged sufficient facts to state a cause of action for an accounting. Court properly dismissed Plaintiff's request for an accounting from a Delaware corporation, as section 220 of the General Corporation Law of Delaware vests exclusive jurisdiction for the inspection of corporate books and records in the Delaware Court of Chancery. (REYES and BURKE, concurring.)
