Plaintiff filed securities fraud action which court dismissed with prejudice. Dismissal was proper, as 2nd amended complaint was insufficient to state a cause of action upon which relief could be granted, and no set of facts could be proved that would entitle Plaintiff to recover. Defendant performed all their obligations and did not breach any promises made, under documents attached to the complaint. Fraud or deceptive intent is not the necessary or probable inference from the allegations. (MIKVA and CONNORS, concurring.)
