My practice has three separate but overlapping components:

1.      Business Transactions: Including mergers and acquisitions (M&A); master service agreements; outside General Counsel role/services; supply agreements and distribution agreements; employment agreements and professional services agreements; construction agreements and subcontractor agreements; entity formation, operating agreements and shareholder agreements; financing agreements (loan agreements, notes, mortgages, collateral assignments); software license and SAAS agreements; temporary staffing agreements; confidentiality agreements (NDAs/CDAs).

2.      Commercial Real Estate Transactions: Including letters of intent; purchase and sale agreements; commercial leases; easements; real estate finance/lending agreements; construction agreements; development and operational pro forma.

3.      Business Brokering: Advising business-owners on preparing for an eventual sale of their business, then marketing the business on a confidential basis to pre-approved prospective buyers and negotiating deal terms. (Registered Illinois business broker.)
