Plaintiff, former shareholders of an insurance company, acquired the rights to sue third parties responsible for the insurance company’s reinsurance program-related losses and filed a lawsuit alleging that defendant breached two contracts and committed professional negligence by failing to notify insurance carriers of claims made by the insurance company against an insurance underwriting management company. The district court dismissed the professional negligence claim and granted defendant summary judgment on the breach of contract claim. The Seventh Circuit affirmed, finding that the insurance company was not a third-party beneficiary to either of the contracts and that defendant did not owe a duty to the insurance company. (ST. EVE and JACKSON-AKIWUMI, concurring)
